Meeting opened at 12.10pm

1.Motion:"That Computerbank Australia Incorporated change its Statement of Purpose to read: 'To promote computer literacy by providing recycled computers installed with licensed software to low income individuals and community groups.' from the current statement found in Appendix 3 of the current constitution. "

Grant stated that he was unhappy with this new SOP as he felt it didn't address some of the activities of our group.
Kylie suggested that we needed to reassess it and pointed out the Computer Angels SOP, that was used in their quest for Charitable staus.
David H pointed out that a suitable SOP was necassary before the ATO would grant Tax Exempt Charitable status.
After some more discussion it was decided that both SOP's were lacking and needed to be reassessed. Another SGM needs to be called asap to resolve this situation.

2. Motion:"That in Rule 2.1 of the constitution of Computerbank Australia Incorporated we include: 'By-Laws ' are those By-Laws made by the Committee from time to time, in accordance with Rule 29 and ' Technology" includes radio, telephone, closed circuit television or other electronic means or telecommunications device for audio or audio-visual communication."

3. Motion:" That Rule 13 of the constitution of Computerbank Australia Incorporated becomes a new section called ' Meeting of Members at More Than One Place ' with Rule 13.1 reading ' A meeting of Members called in accordance with the Rules may be held in 2 or more seperate meeting places linked together by an instantaneous audio-visual communication device or any other Technology which, by itself or in conjunction with other arrangements:
a. gives the Members as a whole in the seperate meeting places a reasonable opportunity to participate in proceedings;
b. enables the chairperson to be aware of proceedings in each such place; and
c. enables the mMembers in each such place to vote on a show of hands and on a poll.'
Rule 13.2 reading:
' A Member present at one of the seperate meeting places is taken to be present at the meeting of Members and entitled to exercise all rights which the Member is granted under the Rules.'
Rule 13.3 reading:
' Where a meeting if Members is held in 2 or more seperate places pursuant to Rule 13.1, that meeting will be deemed to have been held at one of those places as is determined by the chairperson of the meeting.' "

Motion:" That Rule 13 of the constitution become Rule 14 of the amended constiotution, that Rule 14 of the constitution become Rule 15 of the amended constitution, that Rule 15 of the constitution become Rule 16 of the amended constitution, that Rule 16 of the constitution become Rule 17 of the amended constitution, that Rule 17 of the constitution become Rule 18 of the amended constitution, that Rule 18 of the constitution become Rule 19 of the amended constitution and Rule 19 of the constitution become Rule 20 of the amended constitution."

5. Motion:" That Rule 20 of the constitution become Rule 21 of the amended constitution and in Rule 20.1 ( which becomes Rule 21.1 ) '(d) any other person eligible to be a Committee Member in accordance with any By-Law.' will be added."

Motion:" That Rule 21 of the constitution become Rule 22 of the amended constitution, Rule 22 of the constitution become Rule 23 of the amended constitution, Rule 23 of the constitution become Rule 24 of the amended constitution, Rule 24 of the constitution become Rule 25 of the amended constitution, Rule 26 of the constitution become Rule 27 of the amended constitution, Rule 27 of the constitution become Rule 28 of the amended constitution and Rule 28 of the constitution become Rule 29 of the amended constitution."

7. Motion:" That Rule 30 be changed to read:
BY-LAWS
The Committee may make By-Laws not inconsistent with these Rules and the Statement of Purposes."

8. Motion:" That Rule 30 of the consitution become Rule 31 of the amended constitution and read:
In the event of the Association being dissolved, the amount which remains after such dissolution and the satisfaction of all debts and liabilities shall be transferred to any organisation which has similar objects and which is approved by the Commissioner of Taxation as a Tax Exempt Charity for the purpose of any Commonwealth Taxation Act.

9. Motion:" That Rule 31 of the constitution become Rule 32 of the amended constitution, Rule 32 of the constitution become Rule 33 of the amended constitution and Rule 33 of the constitution become Rule 34 of the amended constitution."
